Terms of Service
Effective as of 16 September 2026
Lodi is a digital business card management application that enables Users to scan, store, organise, enrich, and share professional contact information. The Service allows Users to photograph business cards, extract contact details using OCR and artificial intelligence technologies, manage digital contacts, create their own shareable digital business card, generate QR codes for contact sharing, and access optional AI-powered features such as company summaries and lead categorisation.
These Terms of Service apply to the legal relationships arising from the use of the Service by the User.
By creating an account on the Service and using the Service, the User confirms that they have carefully read these Terms of Service and agrees to comply with them. By creating an account on the Service, these Terms of Service become a binding agreement between the User and Lodi.

1.2. The User understands and acknowledges that Lodi is an information society service provider that operates the Service as a digital business card management platform. Lodi provides technology tools that enable Users to scan, process, store, organise, and share business card and contact information.
1.3. These Terms of Service apply to all use of the Service by the User. If the User uses the Service on behalf of an organisation, the User confirms that they have the authority to bind such organisation to these Terms of Service, and references to “User” shall include such organisation.
2. USER REGISTRATION
2.1. The Service may only be used by registered Users. To register as a User, the individual creates an account by providing their email address and creating credentials (or using a third-party authentication provider). Lodi may require the User to verify their email address by entering a verification code.
2.2. The User’s account is associated with the User’s email address. The User is responsible for maintaining the accuracy of their account information and for updating it promptly if it changes.
2.3. By registering as a User, the User confirms that they are a legally capable person with the right to enter into transactions enabled by the Service. The User must be at least 16 years old to create an account (or the applicable minimum age of digital consent in the User’s country of residence, if lower). The User confirms that all personal and contact information provided during registration and use of the Service is complete and accurate.
2.4. The User understands and agrees that by registering as a User on the Service, these Terms of Service become a binding agreement between the User and Lodi. The User undertakes to use the Service in accordance with these Terms of Service and undertakes not to use the Service for fraud or any other unlawful transactions.
2.5. The User undertakes to notify Lodi immediately if the User has reason to believe that their account credentials have fallen into the possession of unauthorised persons or that their account has been accessed by unauthorised persons. The User is fully responsible for the use of the Service and for all activity occurring under their user account.
3. USING THE SERVICE
3.1. Scanning Business Cards. The Service enables Users to scan business cards by photographing them with the device camera or importing images from the device photo library. The Service uses on-device OCR (optical character recognition) and cloud-based AI processing to extract contact information from the scanned cards. Users may review, edit, and correct the extracted information.
3.2. User Confirmation Regarding Scanned Cards. Before scanning a business card, the User confirms that they have the right and, where applicable, any lawful basis required by applicable law to collect, store, process, enrich, and export the personal data of the person whose business card is being scanned, for professional networking purposes. The User shall not scan business cards or enter contact information where doing so would violate the rights of the person whose data is being processed.
3.3. Contact Management. Extracted contacts are stored locally on the User’s device and in the cloud (to enable synchronisation and backup). Users can search, edit, organise, and manage their contacts within the Service. Export to the device address book occurs only when the User explicitly requests it for an individual contact.
3.4. My Card Profile. Users may create their own shareable digital business card (“My Card”) containing their name, job title, company, phone numbers, email addresses, and website addresses. The My Card profile can be shared with other Users or third parties via QR code.
3.5. QR Code Scanning. Users may select contacts (including or excluding their own My Card profile), choose which contact fields to include, and generate a QR code that can be scanned by any device. The User is responsible for ensuring that they have the right to share the contact information included in the QR code.
3.6. Voice Memos. The Service provides a voice recording and transcription feature for meeting notes. Voice recordings are transcribed using AI-powered speech-to-text technology. By using this feature, the User consents to the recording and processing of voice data as described in the Privacy Policy. The User shall not record any person without the consent required by applicable law.
4. AI FEATURES AND ACCURACY
4.1. The Service uses artificial intelligence technologies – including optical character recognition (OCR), large language models, and speech-to-text – to power its features. Core text recognition runs on the User’s device where technically possible. Optional features – smart parsing of card layouts, translation, AI insights, and voice transcription – send text and, in some workflows, card images to cloud-based AI providers for processing.
4.2. Lodi describes its AI providers by category rather than by vendor name, as the specific technology partners may change as the Service evolves. The categories of processing and the protections described in these Terms of Service and the Privacy Policy remain the same regardless of the specific vendor. The User may request information about Lodi’s current AI providers at any time by contacting Lodi.
4.3. User Controls. The following controls are available in Settings:
4.3.1. AI Insights Toggle: the User may disable all optional AI-generated insights (company summaries, lead categories, relevance suggestions, follow-up drafts). With AI Insights off, the Service still performs core card reading and contact organisation;
4.3.2. Improvement/Training Opt-Out: the User may opt out of their content being used to improve the Service or Lodi’s models. If the User opts out, their content is used solely to provide the Service. Lodi also configures its AI providers so that content submitted through the Service is not used to train their generally available models.
4.4. Accuracy Disclaimer. AI and extracted outputs are automated estimates, not verified facts. Extraction can be wrong, companies can be mismatched, and suggestions can be outdated. The User should review and verify all information before relying on any output. To the extent permitted by applicable law, Lodi does not warrant the accuracy of extracted or AI-generated content. The Service does not make automated decisions with legal or similarly significant effects about any person. AI-generated categories and scores are suggestions for the User’s own review.
5. SUBSCRIPTION PLANS AND PAYMENT
5.1. Free and Paid Plans. The Service offers a Free plan and a paid Pro plan. The features, limits, and pricing of each plan are displayed within the Service and may be changed prospectively. The Service does not display advertising on any plan.
5.2. Billing. All purchases are made through the Apple App Store, Google Play, or directly through Stripe, as applicable. Purchases made through an app store are billed and managed by the applicable app store under its terms, including its renewal, cancellation, and refund procedures. Purchases made through Stripe are billed and processed by Stripe on Lodi’s behalf under the applicable Stripe terms and payment procedures, including any applicable renewal, cancellation, and refund procedures. Lodi does not store full payment card details.
5.3. Subscriptions. Subscriptions renew automatically until cancelled by the User through the applicable app store. “Unlimited” features, where offered on paid plans, are subject to fair, non-automated personal use.
5.4. Consumer Withdrawal Rights. The User who is a consumer has the right to withdraw from the Subscription within 14 days from the date of purchase, in accordance with Directive 2011/83/EU and applicable consumer protection legislation. To exercise the right of withdrawal, the User must submit a withdrawal notice through the applicable app store or contact Lodi. The User acknowledges that the right of withdrawal may not apply to digital content that has already been fully delivered with the User’s prior express consent and acknowledgement that the right of withdrawal is lost.
6. CUSTOMER SUPPORT
6.1. For issues and inquiries related to the use of the Service, the User may contact Lodi’s customer support at support@uplodi.com.
6.2. Lodi shall use reasonable efforts to respond to support inquiries in a timely manner.
7. INTELLECTUAL PROPERTY RIGHTS
7.1. The Service and all of its content, including the software, databases, design, documents, images, graphics, and other materials, and all intellectual property rights therein, belong to Lodi or its licensors.
7.2. By registering as a User, Lodi grants the User a non-transferable and non-exclusive right (simple licence) to use the Service in accordance with and for the purposes set out in these Terms of Service. The right to use the Service does not grant the User the right to copy, modify, adapt, reverse engineer, decompile, or use the Service for any purpose other than the purposes expressly set out in these Terms of Service.
7.3. The User acknowledges and agrees that Lodi has the right at any time, without separate agreement, to modify the appearance or functionalities of the Service and to make any other modifications, improvements, or updates for the purpose of developing and/or improving the Service.
7.4. The User is prohibited from:
7.4.1. using the Service for fraud or any other unlawful purpose;
7.4.2. violating any applicable law or regulation;
7.4.3. uploading or entering sensitive personal data (e.g., health, religion, political views) into notes or memos;
7.4.4. recording any person without the consent required by applicable law;
7.4.5. scraping, reselling, or building datasets from the Service, or exceeding plan or fair-use limits;
7.4.6. uploading or transmitting viruses or any other type of malware that may affect the functionality or operation of the Service;
7.4.7. presenting AI-generated estimates as verified facts to another person’s detriment;
7.4.8. using the Service for immoral purposes or in a manner that may harm, defame, threaten, or discriminate against any person.
8. USER CONTENT
8.1. Lodi enables the User to make available on the Service various content created or uploaded by the User, including business card images, contact data, notes, voice memos, the User’s My Card profile, and other materials (“User Content”).
8.2. The User undertakes to ensure that the User Content uploaded to the Service does not infringe the personal data rights or intellectual property rights of third parties. The User shall not upload images, notes, or other content that violate the rights of third parties. Lodi reserves the right to remove any User Content that violates this provision.
8.3. By uploading User Content to the Service, the User grants Lodi a non-exclusive, worldwide, royalty-free licence to use, host, process, store, and display the User Content solely for the purpose of operating the Service and, subject to the User’s opt-out choices as described in the Privacy Policy, improving the Service. The licence granted herein includes the right to process User Content through the categories of technology providers described in the Privacy Policy. The User confirms that by uploading User Content to the Service, the User has the authority to grant Lodi the aforementioned rights and that the use of User Content by Lodi does not infringe the intellectual property rights of third parties.
8.4. The User retains all rights in their User Content. Nothing in these Terms of Service shall be construed as a transfer of ownership of the User’s intellectual property rights in the User Content to Lodi.
9. COMPLAINTS
9.1. If the User discovers deficiencies in the Service or is dissatisfied with any aspect of the Service, the User may submit a complaint to Lodi by contacting support@uplodi.com. The complaint should describe the circumstances giving rise to the complaint and, where possible, be supported by relevant evidence.
9.2. Complaints should be submitted to Lodi without delay, but no later than 30 calendar days from the date of the event giving rise to the complaint.
9.3. Lodi shall review the complaint and respond within a reasonable time, but no later than 15 business days from the receipt of the complaint.
10. LIABILITY
10.1. The content and functionalities made available in connection with or through the Service are provided on an "AS IS" and "AS AVAILABLE" basis, without any express or implied warranties. To the fullest extent permitted by applicable law, Lodi disclaims all warranties. Lodi does not guarantee or warrant that the Service will always be available or available at any particular time, will function without interruption at all times, will be secure or free of errors, will meet the User’s requirements, or will be free of viruses or other security threats.
10.2. Lodi does not warrant the accuracy, completeness, or reliability of any AI-generated output, extracted contact information, company enrichment data, or any other automated output of the Service. The User acknowledges that such outputs are automated estimates and should be independently verified.
10.3. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LODI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. LODI’S TOTAL AGGREGATE LIABILITY SHALL BE LIMITED TO THE GREATER OF EUR 100 OR THE AMOUNTS PAID BY THE USER TO LODI IN THE 12 MONTHS PRECEDING THE CLAIM.
10.4. Nothing in these Terms of Service shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or mandatory consumer rights under applicable consumer protection legislation.
11. DURATION AND TERMINATION
11.1. The rights and obligations set out in these Terms of Service shall enter into force with respect to the User from the moment of registration as a User on the Service and shall remain in force for an indefinite term.
11.2. The User has the right to terminate the use of the Service at any time by deleting their account through the Service (Settings > Account > Delete Account) or by contacting Lodi. The User should maintain their own copies of any data important to them prior to account deletion.
11.3. Lodi has the right to restrict, suspend, or terminate the User’s right to use the Service if:
11.3.1. the User materially breaches these Terms of Service or fails to remedy any breach within a reasonable period given by Lodi;
11.3.2. the User has provided false, misleading, and/or inaccurate information during registration or use of the Service;
11.3.3. termination is required by law or necessary for the protection of Lodi’s rights or the rights of other Users or third parties.
11.4. Provisions of these Terms of Service that by their nature should survive termination (including provisions relating to intellectual property, disclaimers, limitation of liability, and dispute resolution) shall survive the termination of these Terms of Service. Data handling after termination is governed by the Privacy Policy.
12. MISCELLANEOUS PROVISIONS
12.1. The User understands and agrees that Lodi has the right to amend these Terms of Service at any time, including without the User’s consent. Upon amending the Terms of Service, Lodi shall notify the User of the amendment and the content of the new terms at least 5 (five) days before the new terms enter into force. If the User does not agree with the new terms, the User has the right to terminate the agreement within 10 (ten) days of receipt of the notice. In such case, the agreement shall be deemed terminated 10 days from receipt of the termination notice. The User shall be deemed to have accepted the new terms if the User does not terminate the agreement within the aforementioned period.
12.2. The legal relationships arising from the use of the Service between Lodi and the User shall be governed by the laws of the Republic of Estonia. Notwithstanding the foregoing, a User who is a consumer shall have the right to rely on such mandatory provisions of law that would apply in the absence of a choice-of-law agreement.
12.3. Disputes arising from the use of the Service shall be resolved through negotiations. If an agreement cannot be reached, the dispute shall be resolved by the Harju County Court (Harju Maakohus). However, a User who is a consumer shall at all times have the right to bring a claim before the competent court of their country of residence. If the User’s residence is in the European Union, the User has the right to submit a dispute with Lodi for resolution through the online dispute resolution (ODR) platform administered by the European Commission (available at ec.europa.eu/odr). The User also has the right to submit an application for dispute resolution to the consumer dispute resolution body in the User’s country of residence (e.g., the Tarbijavaidluste komisjon in Estonia).
12.4. The User may not assign the rights and obligations arising from these Terms of Service to third parties without the prior written consent of Lodi.
12.5. To the extent permitted by applicable law, the User agrees to indemnify and hold Lodi harmless against claims and reasonable costs arising from the User’s breach of these Terms of Service or the User’s unlawful upload or processing of another person’s data through the Service – except to the extent caused by Lodi’s own breach or negligence, and only insofar as consumer law in the User’s country of residence allows.
